1. Introduction and Acceptance

1.1 Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and EM Solutions S.r.l. ("EM Solutions", "we", "us", "our"), governing your access to and use of the Poseidon Connect platform ("Platform", "Service").

1.2 Acceptance

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.

1.3 Authority to Bind

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Service

2.1 Platform Overview

Poseidon Connect is a business-to-business (B2B) platform for managing flood barrier installations, maintenance, and inspections. The Platform enables:

Management of flood barrier installations and technical specifications
Scheduling and tracking of maintenance interventions
Digital inspection checklists and compliance documentation
Integration with FloodLink IoT monitoring devices
Multi-tier user management and access control
Document storage and report generation

2.2 Service Availability

We strive to maintain Platform availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:

Scheduled maintenance (with advance notice where practicable)
Emergency maintenance or security updates
Circumstances beyond our reasonable control

3. User Accounts and Hierarchy

3.1 Account Creation

Accounts are created through an invitation system:

1. An authorized administrator creates an invitation with a designated role

2. The invited user receives an invitation link

3. Upon registration, the user provides their information and accepts these Terms and the Privacy Policy

3.2 User Hierarchy

The Platform operates with the following user roles and permissions:

3.3 Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access
Ensuring information provided during registration is accurate and current
Using the Platform only for its intended business purposes

3.4 Account Termination

We may suspend or terminate your account if:

You violate these Terms
Your invitation is revoked by your inviting organization
Your associated organization's account is terminated
Required by law or to protect the Platform's integrity

4. Acceptable Use

4.1 Permitted Use

You may use the Platform solely for:

Managing flood barrier installations and maintenance
Recording inspections and generating compliance documentation
Coordinating with authorized technicians and stakeholders
Accessing reports and monitoring data for barriers under your management

4.2 Prohibited Conduct

You agree NOT to:

Use the Platform for any unlawful purpose
Access accounts or data belonging to other users without authorization
Attempt to bypass, disable, or circumvent any security features
Introduce malicious code, viruses, or harmful components
Interfere with or disrupt the Platform's operation
Copy, modify, or create derivative works of the Platform
Use automated means to access the Platform without our written consent
Misrepresent your identity or organizational affiliation
Share your account credentials with unauthorized parties
Use the Platform in any manner that could damage our reputation

4.3 Content Standards

Any content you upload or create through the Platform must:

Be accurate and not misleading
Comply with applicable laws and regulations
Not infringe any third-party intellectual property rights
Not contain confidential information of third parties without authorization

5. Intellectual Property

5.1 Platform Ownership

The Platform, including its software, design, features, documentation, and all related intellectual property, is owned by EM Solutions or its licensors. These Terms do not grant you any ownership rights in the Platform.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose during the term of your account.

5.3 User Content

You retain ownership of content you create or upload to the Platform ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide license to store, process, and display such content as necessary to provide the Service.

5.4 Feedback

If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant us an unrestricted, perpetual, irrevocable license to use such Feedback without compensation or attribution.

6. Data and Privacy

6.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

6.2 Data Accuracy

You are responsible for ensuring the accuracy of data you enter into the Platform, including:

Installation addresses and specifications
Barrier technical information
Inspection and maintenance records
Contact information

6.3 Data Retention

Data is retained in accordance with our Privacy Policy and applicable legal requirements. Upon account termination, your data may be retained as required by law or for legitimate business purposes.

7. Third-Party Services

7.1 Integrations

The Platform may integrate with third-party services, including:

FloodLink IoT monitoring systems
Cloud storage providers
Authentication services

7.2 Third-Party Terms

Your use of third-party services is subject to those services' own terms and policies. We are not responsible for third-party services' availability, accuracy, or conduct.

8. Disclaimers

8.1 "As Is" Provision

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for a particular purpose
Warranties that the Platform will be uninterrupted, error-free, or secure
Warranties regarding the accuracy or reliability of any information

8.2 Professional Advice

The Platform provides tools for documentation and management. It does not constitute professional engineering, safety, or legal advice. You remain responsible for:

Compliance with applicable building codes and safety regulations
Proper installation and maintenance of flood barriers
Professional assessment of flood protection requirements

8.3 IoT Monitoring Limitations

FloodLink and other IoT integrations are monitoring tools only. They do not replace:

Physical inspections
Emergency preparedness planning
Professional flood risk assessment

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EM SOLUTIONS SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from your use or inability to use the Platform
Damages resulting from unauthorized access to your account
Damages arising from third-party services or integrations

9.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 Essential Purpose

The limitations in this section apply even if any remedy fails of its essential purpose.

10. Indemnification

You agree to indemnify, defend, and hold harmless EM Solutions, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any third-party rights
Content you upload or create through the Platform

11. Modifications

11.1 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through:

Notice within the Platform
Email to your registered address
Requirement to re-accept updated Terms upon next login

11.2 Continued Use

Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Italy, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved:

1. First, through good-faith negotiation between the parties

2. If negotiation fails, through mediation in Italy

3. If mediation fails, through the courts of Italy

12.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and EM Solutions regarding the Platform.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.

13.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, or internet service disruptions.
